Terms of Service

These Terms of Service (“Terms”, “Agreement”) govern your access to and use of the www.buildingsecurity.com website (the “Site”) and services provided by Building Security Services (“BSS”, “we”, “us”, or “our”), a New Jersey corporation.

By using our Site or services, you agree to these Terms. If you disagree with any part of these Terms, do not use our Site or services.

1. Definitions

• “Services” means all security guard services, assessments, consultations, and related offerings provided by BSS.
• “Client” or “you” means any individual or entity using our Site or Services.
• “Service Agreement” means a separate written contract for ongoing security services.
• “Site” means www.buildingsecurity.com and all associated pages and domains.

2. Scope of Terms

These Terms apply to:

• Use of our website and online forms
• Free security assessments and consultations
• General inquiries and communications

Important: If you enter into a Service Agreement for ongoing security guard services, that separate contract will govern the provision of those services. In case of conflict between these Terms and a Service Agreement, the Service Agreement controls.

3. Services Overview

3.1 What We Provide

BSS provides professional security services including but not limited to:

• Armed and unarmed security guards
• Fire and Life Safety Directors
• Security assessments and consultations
• Access control and surveillance systems
• Emergency response services

3.2 Service Availability

We provide services primarily in New York City (all five boroughs) and Northern New Jersey. Availability in other areas is at our discretion. We reserve the right to refuse service to any client or location for any lawful reason.

3.3 Licensing and Insurance

BSS maintains all required state licenses and insurance coverage. Our security personnel are:

• State-licensed and certified
• Background-checked
• Trained in accordance with state regulations
• Supervised by qualified personnel

4. Free Security Assessments

4.1 Assessment Process

When you request a free security assessment through our Site:

• We will contact you to schedule an on-site or virtual consultation
• Assessments are provided for informational purposes only
• No security services are provided until a Service Agreement is executed
• Assessment recommendations are not binding commitments

4.2 No Obligation

Free assessments create no obligation for either party. We reserve the right to decline to provide an assessment or services for any lawful reason.

5. Service Guarantees and Limitations

5.1 One-Hour Emergency Deployment Guarantee

Our “1-Hour Emergency Guard Guarantee” is subject to the following conditions:

• Only applies to existing Service Agreement clients in good standing
• Only applies to emergency requests within our standard service areas (NYC five boroughs)
• Weather, civil unrest, or force majeure events may extend response time
• Client must have clear access instructions and appropriate site conditions
• Credit of $1,000 applies to future invoices only; not payable as cash
• Limited to one credit per client per calendar year

5.2 Complaint Reduction Guarantee

Our “50% Complaint Reduction in 60 Days” guarantee:

• Only applies to measurable, documented tenant complaints
• Baseline must be established during first 30 days of service
• Client must provide access to complaint records and cooperate with implementation
• Excludes complaints unrelated to guard performance
• “2 weeks free” means credit applied to future invoices
• Subject to mutual agreement on measurement methodology

5.3 Capacity Limitations

We limit new client onboarding to maintain service quality. “Only 7 properties per borough per quarter” is a soft limit and may be adjusted at our discretion based on operational capacity.

6. Disclaimer of Warranties

6.1 Services “As Is”

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2 No Guarantee of Prevention

WE DO NOT GUARANTEE THAT OUR SECURITY SERVICES WILL PREVENT ALL CRIMINAL ACTIVITY, INJURIES, PROPERTY DAMAGE, OR OTHER LOSSES. SECURITY SERVICES REDUCE RISK BUT CANNOT ELIMINATE IT ENTIRELY.

6.3 Website Accuracy

We strive for accuracy on our Site but do not warrant that:

• The Site will be uninterrupted or error-free
• Information on the Site is complete or current
• The Site is free from viruses or harmful components

7. Limitation of Liability

7.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BSS’S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO BSS IN THE 12 MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.

7.2 Excluded Damages

BSS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits or revenue
• Loss of business opportunities
• Loss of data or information
• Property damage beyond direct physical damage
• Personal injury not directly caused by our guards’ gross negligence

7.3 Insurance Coverage

BSS maintains general liability and professional liability insurance. In the event of claims covered by our insurance, liability will be subject to policy limits and terms. Specific coverage details are available in Service Agreements.

7.4 Third-Party Actions

We are not liable for:

• Criminal acts by third parties
• Acts of God or force majeure events
• Client’s failure to follow our security recommendations
• Damage resulting from inadequate site conditions or access

8. Indemnification

You agree to indemnify, defend, and hold harmless BSS, its officers, directors, employees, agents, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your breach of these Terms
• Your use of our Services
• Your violation of any law or regulation
• Your violation of any third-party rights
• False information provided to us
• Your failure to maintain safe site conditions

9. Payment Terms

9.1 Pricing

Pricing for Services is provided in quotes and Service Agreements. All prices are in U.S. dollars and subject to change with 30 days’ notice for ongoing contracts.

9.2 Payment Methods

We accept payment via:

• Credit card (Visa, Mastercard, American Express)
• ACH/bank transfer
• Check (with approved credit)
• Net-30 terms (with approved credit)

9.3 Late Payment

Late payments may incur:

• Interest at 1.5% per month (18% annually) or the maximum allowed by law
• Suspension or termination of services
• Collection agency fees and legal costs

9.4 Disputes

You must notify us of billing disputes within 30 days of the invoice date. Undisputed portions must be paid on time.

10. Intellectual Property

10.1 Our Property

The Site and its content, features, functionality, including but not limited to:

• Text, graphics, logos, and images
• Software and code
• Security protocols and procedures
• Training materials
• “Zero Incident Security™” trademark

…are owned by BSS and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose. You may not:

• Copy, modify, or distribute Site content
• Reverse engineer or decompile any software
• Remove copyright or proprietary notices
• Use automated tools to access the Site (bots, scrapers)

11. User Conduct and Acceptable Use

When using our Site, you agree NOT to:

• Provide false or misleading information
• Impersonate any person or entity
• Upload viruses or malicious code
• Attempt to gain unauthorized access to our systems
• Harass or threaten our employees
• Use the Site for any illegal purpose
• Spam or send unsolicited communications
• Interfere with the Site’s operation

12. Privacy and Data Protection

Your use of our Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Site, you consent to our collection and use of your information as described in the Privacy Policy.

13. Third-Party Links and Services

Our Site may contain links to third-party websites, services, or advertisers that we do not own or control, including:

• Social media platforms
• Industry associations
• Technology partners

We are not responsible for the content, privacy practices, or terms of any third-party sites. We strongly advise you to review their terms and privacy policies.

14. Confidentiality

14.1 Your Information

We will maintain the confidentiality of proprietary information you share during assessments or service delivery, subject to our Privacy Policy and applicable law.

14.2 Our Information

You agree to keep confidential any proprietary information we share, including:

• Security protocols and procedures
• Pricing structures
• Guard scheduling systems
• Technology implementations

15. Termination

15.1 By You

You may stop using our Site at any time. Service Agreements have their own termination provisions.

15.2 By Us

We may suspend or terminate your access to our Site immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abusive behavior toward our staff
• Non-payment
• Any reason or no reason

15.3 Effect of Termination

Upon termination:

• Your right to use the Site ceases immediately
• You must pay all outstanding amounts owed
• Provisions that by nature should survive will survive (indemnification, liability limitations, dispute resolution)

16. Dispute Resolution

16.1 Informal Resolution

Before filing any claim, you agree to contact us at info@buildingsecurity.com to attempt informal resolution. We will respond within 10 business days.

16.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or our Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration terms:

• Location: Essex County, New Jersey
• One neutral arbitrator selected per AAA rules
• Each party bears its own costs unless arbitrator awards fees to prevailing party
• Arbitrator’s decision is final and binding
• Judgment may be entered in any court of competent jurisdiction

16.3 Class Action Waiver

YOU AND BSS AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.4 Exceptions

Either party may seek injunctive relief in court for:

• Intellectual property violations
• Confidentiality breaches
• Emergency security situations

16.5 Small Claims Court

Either party may bring a claim in small claims court if it qualifies.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any court proceedings (outside of arbitration) shall be brought in the state or federal courts located in Essex County, New Jersey, and you consent to the personal jurisdiction of such courts.

18. Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control, including:

• Natural disasters (hurricanes, floods, earthquakes)
• War, terrorism, or civil unrest
• Government actions or regulations
• Pandemics or public health emergencies
• Strikes or labor disputes
• Power outages or telecommunications failures
• Severe weather conditions

19. Severability

If any provision of these Terms is found unenforceable by a court, that provision will be modified to reflect the parties’ intention or eliminated to the minimum extent necessary. The remaining provisions will remain in full effect.

20. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative.

21. Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreement you enter into, constitute the entire agreement between you and BSS regarding use of the Site and Services, superseding any prior agreements.

22. Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction. Any attempted assignment by you in violation of this section is void.

23. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on this page with an updated “Last Updated” date.

For Material Changes:

• We will provide notice via email (if we have your email address) or prominent notice on the Site
• You will have 30 days to object
• Continued use after 30 days constitutes acceptance

For existing Service Agreement clients, material changes will not affect the terms of your Service Agreement without your consent.
